Global Pathway Education – Terms and Conditions of Use

PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY BEFORE ACCESSING OR USING THE SERVICES. BY ACCESSING, BROWSING, REGISTERING FOR, OR OTHERWISE USING ANY PORTION OF THE SERVICES (DEFINED BELOW), YOU (“USER,” “YOU,” OR “YOUR”) ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THESE TERMS AND CONDITIONS (“TERMS”), TOGETHER WITH OUR PRIVACY POLICY (COLLECTIVELY, THE “AGREEMENT”). IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED HEREIN, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICES.

1.1 “Services” means any and all websites, platforms, advisory functions, referral mechanisms, and related services provided by Global Pathway Education, whether now existing or hereafter developed.
1.2 “Third-Party Providers” means any educational institutions, program sponsors, visa consultants, or other independent entities with whom the User may engage upon recommendation by Global Pathway Education.
1.3 Global Pathway Education expressly reserves the right, in its sole and absolute discretion, to amend, modify, or otherwise revise these Terms at any time and without prior notice, except where applicable law mandates explicit notice. Continued use of the Services following the posting of such revisions constitutes binding acceptance thereof.

2.1 Global Pathway Education is not an educational institution, accredited body, travel agency, or immigration consultancy, and does not provide diplomas, certifications, visas, or direct admissions. The Services are limited to educational advisory, program matching, and informational referral functions.
2.2 Engagements between Users and Third-Party Providers are wholly independent contractual relationships governed exclusively by the terms, conditions, and policies of such third parties. Global Pathway Education is not and shall not be construed as a party to any such agreements.
2.3 WITHOUT LIMITATION, GLOBAL PATHWAY EDUCATION MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, REGARDING ADMISSION OUTCOMES, PROGRAM ACCREDITATION, VISA APPROVAL, EMPLOYMENT PROSPECTS, OR EDUCATIONAL SUCCESS.

3.1 By accessing the Services, You represent and warrant that You (i) are at least the age of majority in Your jurisdiction, (ii) have full legal capacity and authority to enter into binding agreements, and (iii) are not prohibited from accessing the Services under any applicable laws.
3.2 User shall not, directly or indirectly:
(a) Use the Services for unlawful, fraudulent, or unauthorized purposes;
(b) Infringe or misappropriate the intellectual property rights of Global Pathway Education or any third party;
(c) Engage in conduct that disrupts, degrades, or interferes with the integrity or performance of the Services.

4.1 In order to access certain functionalities, You may be required to establish an account. You agree to provide true, accurate, current, and complete information, and to maintain and promptly update such information.
4.2 You are solely responsible for maintaining the confidentiality of Your login credentials and for all activities conducted under Your account. Global Pathway Education disclaims any liability for unauthorized access arising from User’s failure to safeguard credentials.
4.3 Global Pathway Education reserves the unilateral right to suspend, restrict, or terminate any account suspected of fraudulent activity, breach of these Terms, or misuse of the Services.

5. FEES, PAYMENTS, AND TAXES

5.1 Where fees are applicable, such fees shall be disclosed in writing by Global Pathway Education and shall be payable in the currency specified. Unless otherwise expressly stated, all fees are due in advance and are strictly non-refundable.
5.2 User acknowledges and agrees that all currency conversion costs, bank or transaction charges, governmental levies, and applicable taxes are the sole responsibility of the User.

6. PRIVACY AND DATA PROTECTION

6.1 Global Pathway Education processes personal data in accordance with applicable data protection laws, including, without limitation, the European Union General Data Protection Regulation (EU Regulation 2016/679, “GDPR”), the UK GDPR, and other analogous global privacy frameworks.
6.2 The legal bases for processing may include performance of a contract (Art. 6(1)(b) GDPR), compliance with legal obligations (Art. 6(1)(c) GDPR), legitimate interests pursued by Global Pathway Education (Art. 6(1)(f) GDPR), or express consent (Art. 6(1)(a) GDPR).
6.3 User acknowledges that personal data may be transferred to jurisdictions outside the User’s country of residence. Where required, Global Pathway Education implements legally appropriate safeguards, such as Standard Contractual Clauses or other mechanisms recognized by applicable law.
6.4 Subject to applicable law, Users have rights of access, rectification, erasure, restriction, objection, portability, and withdrawal of consent. Requests must be submitted in writing to Global Pathway Education.

7. INTELLECTUAL PROPERTY RIGHTS

7.1 All content, materials, trademarks, service marks, trade names, and associated intellectual property rights contained in or available through the Services are owned or licensed by Global Pathway Education.
7.2 Except as expressly permitted under these Terms, no license or right is granted to the User, whether by implication, estoppel, or otherwise. Any unauthorized reproduction, distribution, or derivative use is strictly prohibited.

8. THIRD-PARTY LINKS AND SERVICES

8.1 The Services may include hyperlinks or referrals to Third-Party Providers. Such links are provided solely as a convenience.
8.2 GLOBAL PATHWAY EDUCATION EXPRESSLY DISCLAIMS ALL RESPONSIBILITY AND LIABILITY FOR THE CONTENT, ACCURACY, LEGALITY, OR FUNCTIONALITY OF ANY THIRD-PARTY PROVIDER OR WEBSITE.

9. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITY

9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
9.2 GLOBAL PATHWAY EDUCATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.3 IN NO EVENT SHALL GLOBAL PATHWAY EDUCATION’S TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT OF $1,000.00 USD.

10. INDEMNIFICATION

User agrees to defend, indemnify, and hold harmless Global Pathway Education, its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, demands, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) User’s breach of these Terms, (ii) misuse of the Services, or (iii) violation of applicable laws or rights of any third party.

11. FORCE MAJEURE

Global Pathway Education shall not be responsible or liable for any delay or failure in performance resulting from events or circumstances beyond its reasonable control, including, without limitation, natural disasters, acts of God, governmental actions, labor disputes, epidemics, failures of telecommunications or internet services, or other force majeure events.

12. TERMINATION

12.1 Global Pathway Education may, in its sole discretion, suspend or terminate User’s access to the Services at any time, with or without notice, for breach of these Terms or for conduct deemed harmful to the Services or other Users.
12.2 User may terminate this Agreement by ceasing all use of the Services. Termination does not relieve User of accrued obligations or fees.

12. TERMINATION

12.1 Global Pathway Education may, in its sole discretion, suspend or terminate User’s access to the Services at any time, with or without notice, for breach of these Terms or for conduct deemed harmful to the Services or other Users.
12.2 User may terminate this Agreement by ceasing all use of the Services. Termination does not relieve User of accrued obligations or fees.

13. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict-of-law provisions.
13.2 Agreement to Arbitrate. Except as expressly set forth herein, any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The seat of arbitration shall be Montgomery County, Texas.
13.3 Class Action Waiver. USER AGREES THAT ALL CLAIMS WILL BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
13.4 Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to Global Pathway Education within 30 days of first accepting these Terms. If you opt out, disputes shall be resolved in the courts of Montgomery County, Texas, which shall have exclusive jurisdiction.

14. SEVERABILITY

If any provision of this Agreement is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.

15. ENTIRE AGREEMENT

This Agreement, together with the Privacy Policy and any supplemental terms referenced herein, constitutes the entire agreement between the parties concerning the Services and supersedes all prior oral or written understandings.
